BUSINESS IS FASCINATING AND EXCITING

The Board of Directors establishes the developmental strategy of the broad organization and sets the strategic directions for the indi- vidual companies’ management, while securing the monetary stability of the Group and its major investment projects. The Board is responsible for maintain- ing the necessary control and discipline over the environment in order to reach the desired goals, growth and profitability. It exer- cises control over the activities of management bodies and the accountability of those bodies to the Group and its shareholders. The Board sets the ethical values, unity and philosophy of the man- agement, defines the authorities and responsibilities within it and drafts the strategic, operative and annual financial and manage- ment reports and annual budget.

Good governance is secured by management committees, specifi- cally created to manage projects and initiatives within VM Finance Group. These committees, namely, the Investment Committee, the Corporate Policy Committee and the Business Development Commit- tee, take part in tactical decision-making process depending on their areas of operation.

Vassil Mirtchev

Founder and Chairman of the Board of Directors of VM Finance Group, in 2009 Vassil Mirtchev was elected Chairman of the Advisory Board of the UNDP Global Compact in Bulgaria, a voluntary network of members, encouraging businesses to develop socially responsible practices and projects for environmental protection in their daily activities. Mr. Mirtchev also chairs the Bulgarian Canoe Federation. He graduated from the University of National and World Economy and the National Sports Academy. He has more than 20 years of entrepreneurial experience related to the establishment of the companies within VM Finance Group.

Alexandra Mircheva

A partner in VM Finance Group since the company’s establishment, Alexandra Mirtcheva is Business Development Director of the international children’s center, ABC KinderCare Center, founded in January 2008. Mrs. Mirtcheva graduated from the Italian College of Sofia and holds a Marketing and Advertising degree from New Bulgarian University. She began her career at CISS organization. Later her she specialized in the field of political advertising and contributed to the successful organization of several local election campaigns. In 1997 and 1998, while working in „Motive” Advertising Agency /the former “Nova TV” Advertising Agency/, she extended and improved her skills in public relations. For three years she has been a member of the Board of Directors of the International Foundation ICCF.

Ivo Petrov

Chief Executive Officer of VM Finance Group and a partner in several of the Group’s companies, Ivo Petrov manages the Head Office, whose role is to provide services and to govern companies in the areas of human resources, corporate communications, legal and tax advice, risk management, finance and controlling, IT and business development. The Managing Directors of the Group’s companies work under his direct supervision.

Mr. Petrov is a graduate of the Telecommunications Faculty at the Technical University of Sofia,. He has over 15 years of senior management experience in the Group.

Dimitar Gurdjilov

Dimitar Gurdjilov joined the Board of Directors of VM Finance Group as a Head of Business development. Currently he is acting CEO of “Florina – Bulgaria”.

He holds BA from American University in Bulgaria, then a specialization at the University of Delaware and MBA and Finance from the University of Miami. After the start of his careem at Arthur Andersen Bulgaria, Mr. Gyurdjilov continued his professional development in the world-renowned companies as Merrill Lynch (USA), JPMorgan (USA-Australia), Bedminster Capital Management LLP (USA) and NGBI Private Equity (UK).
